Chapter BYLAWS

ARTICLE I

NAME
The name of this organization shall be the National Association of Neonatal Nurses; Iowa Chapter. This chpater is also known as the Iowa Association of Neonatal Nurses (IANN).

ARTICLE II

PURPOSE
The purpose of this ASSOCIATION shall be:
1. To promote the highest standards of neonatal nursing practice, education, research, and advocacy.
2. To maintain an organization that will assist the neonatal nurse in optimizing professional development and economic welfare.
3. To provide an organization that promotes the general welfare of neonatal nurses.


ARTICLE III

GOALS

The goals of the ASSOCIATION shall be to:
1. Facilitate an exchange of information between nurses in the neonatal field.
2. Maintain for allmembers a forum for continuing education.
3. Provide communication networks among neonatal nurses working in the neonatal field.
4. Participate in legislative activities that will promote and improve neonatal nursing and health care for the infant and family.
5. Support and participate in the ongoing development and implementation of specialty certification.

ARTICLE IV

MEMBERSHIP
Section I
a. Membership in the ASSOCIATION is a privilege and is contingent on concurrent membership in the NATIONAL ASSOCIATION OF NEONATAL NURSES (“NANN”) and continued compliance with the requirements specified by these Bylaws and state law.
b. A person shall be declared a member upon payment of local and national dues.
Section II
​a. The membership of this ASSOCIATION shall not be limited by numbers.
Section III
​a. Members shall have the right to vote and meet the qualifications to hold office in the ASSOCIATION.
Section IV
a. Members shall keep on file with the President and/or Membership Chair, a current mailing or email address to which all notices required by the Bylaws of the ASSOCIATION may be sent.
b. Coordinate the collection of officer nominations and oversee the election of officers.
Section IV
a. Dues shall be determined by a majority vote of members. Dues MAY NOT exceed NANN dues.
b. Dues for IANN members shall be $30.00 annually; paid to NANN with membership and renewal.

ARTICLE V

OFFICERS
Section I Executive Board
a. The officers of the ASSOCIATION shall consist of a President, Vice President, Secretary, and Treasurer. Collectively these officers are referred to as the Executive Board.
b. Each candidate for office shall be an active member in good standing of the​ ASSOCIATION. A member shall not hold more than one chapter office in the ASSOCIATION at any given time.
c. All officers shall be registered nurses.
d. Executive Board shall meet as needed. Meeting time and place shall be arranged by the President.

Section II Elections
a. The officers shall be elected by a majority of votes cast by ballot. All officers shall take office on January 1
b. The President and Vice President shall serve a term of two (2) years. The Secretary and Treasurer shall serve a term of two (2) years.
c. Prior to a candidate being included on the election ballot, he/she must verify their NANN membership to the executive board.

Section III  Specific Roles
a. The President shall: 
1. Preside at any official meeting of the ASSOCIATION and coordinate the work of the officers to ensure that the objectives and policies of the ASSOCIATION are maintained and promoted;
2. Act as the official representative of the ASSOCIATION unless otherwise designated. 

b. The Vice President shall:
1. Perform the duties of the President in the absence of the President.

c. The Secretary shall:
1. Record the minutes of and attendance at business meetings of the ASSOCIATION;
2. Conduct official correspondence of the ASSOCIATION.

d. The Treasurer shall:
1. Collect and disburse ASSOCIATION funds;
2. Present a statement of financial condition at each general business meeting.

Section IV  Vacancies
a. In the event of a resignation or vacancy of an office, an election shall be held at the next business meeting to fill the office for the unexpired term.
b. Should the office of President become vacant before the term of office expires, it shall be filled by the Vice President.

ARTICLE VI

EXECUTIVE BOARD
Section I  Powers and Duties
The general management of the affairs of the ASSOCIATION shall be vested in the Executive Board, who shall:
a. Transact the business of the ASSOCIATION.
b. Approve, budget and authorize reimbursement of expenses to elected or appointed officialsengaged in business on behalf of the ASSOCIATION.
c. Create standing task force or special committees and define their duties.
d. Call meetings of the ASSOCIATION not already provided for in these Bylaws.

ARTICLE VII

 MEMBERSHIP MEETINGS
Section I Meeting Frequency
​a. The regular meetings of the ASSOCIATION shall be held no less than quarterly, at such time and place as arranged by the President.
Section II Voting
a. A quorum shall consist of all active members present at the meeting.
b. Each active Member shall be entitled to one vote on matters properly placed before the membership.
Section III     Reports
​a. The meeting shall include a report to the membership of all committee and Executive Board activities.


ARTICLE VIII

AMENDMENTS to the BYLAWS

Section I​ Bylaws
a. The Bylaws shall be reviewed annually and approved by a majority vote at a regular business meeting.
Section II​ Amendments
a. The Bylaws may be amended at any regular business meeting of the ASSOCIATION by a favorable vote of two-thirds of the members present.

ARTICLE IX

COMMITTEES
Section I     Standing Committees
a. The following standing committees shall be maintained by the membership:
1. Communications Committee
2. Community Relations Committee 
3. Education Committee
4. Membership Committee
b. The Executive Board may establish other committees as may be necessary to conduct the business of the ASSOCIATION.
c. Committees should provide reports of their activities at regular business meetings or upon request of the Executive Board.

ARTICLE X

RULES AND PARLIAMENTARY AUTHORITY

The rules contained in the most current edition of Robert’s Rules of Order shall be the parliamentary authority. The rules governing the ASSOCIATION shall be decided upon by a simple majority of members present at any regular business meeting.


ARTICLE XI

ADOPTION

Adopted at a meeting of the IOWA ASSOCIATION OF NEONATAL NURSES on the
